Job Description & Qualifications

Job Summary

Responsible for drafting and negotiating various purchase, service, consulting and nondisclosure agreements, and developing form agreements for use throughout the company.


Major Tasks, Responsibilities and Key Accountabilities

  • Reviews, drafts and negotiates complex commercial contracts.
  • Ensures compliance with business and regulatory requirements.
  • Drives contract compliance and provides sound legal advice to internal client groups.
  • Develops and provides contract training for various lines of business.
  • Proactively identifies issues related to contracts and legal documents and recommends risk mitigation strategies to Senior Leadership.
  • Develops and monitors processes to ensure compliance with all applicable laws and regulations.
  • Manages or participates in special projects, department or company initiatives.
  • Directs, develops and motivates Administrative Assistants, Managers, Paralegals and other assigned staff in the handling of the related activities (as needed).

  • Solutions require analysis and investigation.
  • Achieves planned results by decisions and actions based on professional methods, business principles, and practical experience. May recommend/make decisions regarding new programs/initiatives that have significant impact to the business and carry consequences in unsuccessful endeavors.
  • Manages a larger team or multiple small teams through direction of subordinate management and/or supervisory staff.

Work Environment

  • Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
  • Typically requires overnight travel less than 10% of the time.
  • Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.

Minimum Qualifications

  • Must be eighteen years of age
  • Must pass the Drug Test
  • Must pass the Background Check
  • Must pass pre-employment tests if applicable

Education and Experience

Typically requires BS/BA in a related discipline. Generally 7+ years of experience in a related field. May require certification. Advanced degree may offset less experience in some disciplines.

Preferred Qualifications

  • 10+ years of experience as a contract administrator in a top law firm, corporation, or government agency. Experience in dispute resolution preferred.
  • Experience working in a team-oriented environment managing and mentoring legal staff.
  • J.D. from an accredited law school required.
  • Deep expertise in negotiating and drafting complex commercial contracts required.
  • Expertise in labor & employment, M&A or real estate highly desirable.
  • Experience with government procurement at federal, state or local level desirable.
